中关村国家自主创新示范区及“三城一区”

试点工商登记注册“全城通办”的实施方案

 

为进一步深化商事制度改革,扎实推进工商注册制度便利化,营造更加良好的首都营商环境,根据国务院“放管服”改革的总体部署和要求,自2017121日起,在中关村国家自主创新示范区(以下简称“中关村示范区”) 及中关村科学城、怀柔科学城、未来科学城和北京经济技术开发区(以下简称“三城一区”)范围内试点工商登记注册“全城通办”,建立市域一体化工商登记注册服务体系。现提出如下实施意见:

一、总体要求

(一)指导思想

认真贯彻落实党的十九大精神,按照国务院“放管服”改革的总体部署和市委市政府对优化首都营商环境的新要求,开拓创新,坚持问题导向,坚持用改革创新的思维破解改革中出现的问题,着力解决群众日益增长的公共服务需求和政府服务资源不平衡不充分的矛盾,努力打通群众办事“最后一公里”。

(二)工作目标

以便捷、高效、利民为目标,允许中关村示范区一区十六园及“三城一区”范围内的科技类内资有限公司选择全市内任意一个登记注册大厅办理设立登记业务,通过优化区域服务资源配置,进一步缩短企业开办时间,提升登记服务效率。

(三)基本原则

1.坚持先行先试。为确保“全城通办”稳妥有序开展,试点范围确定为中关村示范区及“三城一区”内科技类内资有限公司设立登记。市局根据试点情况适时扩大地域范围和业务范围。

2.坚持规范统一。充分考虑区域政策差异,通过流程再造、细化标准,统一业务流程、统一操作规范、统一服务标准,最大限度减少区域政策差异带来的影响,打造标准化、专业化、便利化的跨区登记服务模式。

3.坚持信息共享。充分运用信息化手段支撑业务应用。涉及受理登记机关与管辖登记机关之间的信息确认和材料传递通过信息化手段实现。

4.坚持属地管理。“全城通办”是登记机关提供给企业的一种跨区域的登记服务方式,由住所所在地管辖登记机关委托受理登记机关办理,不改变属地管理原则,企业的行政和司法管辖按照住所所在地确定。

二、主要任务

(一)再造登记审查流程

1.统一入口。申请人通过“北京工商网上登记申请服务平台”申请设立登记,在按要求填报网上登记数据后,由住所所在地登记机关对其住所是否属于中关村示范区或“三城一区”范围进行确认并审核材料。

2.自主选择。网上审核通过后,符合“全城通办”条件的,网上登记服务系统提供全市各登记机关预约方式信息。申请人可以选择“全城通办”模式,向全市任一登记机关提交申请材料。

3.委托受理。申请人向受理登记机关提交纸质材料后,受理登记机关负责审查申请人提交的申请材料,并对材料中的“住所”、“经营范围”、“许可信息”相关内容与网上登记录入信息进行审查,信息一致的,经受理登记机关核准后,发放加盖管辖登记机关印章的营业执照。受理登记机关发现材料中的相关内容与网上信息不一致的,需通过“金网”审批系统将修改后的材料进行上传,由管辖登记机关进行确认后方可核准。

(二)建立通办档案配套管理制度

1.及时建立电子档案。受理登记机关办理完毕登记注册业务后,应当将“全城通办”登记材料单独整理,于企业领取营业执照或备案通知书三个工作日内移交至本单位档案部门。受理登记机关档案管理部门应自接收档案之日起3个工作日内完成扫描建立电子档案、加贴电子标签,并将“全城通办”登记档案单独保管。

2.书式档案的建立与移交。按照“安全便利”原则,“全城通办”书式档案由市局档案管理中心统一存档保管。为减轻分局档案库房存储压力,减少书式档案移转的风险与成本,市局档案管理中心定期将各分局“全城通办”登记档案统一收取保存至市局档案管理中心昌平库房。

(三)明确行政司法管辖职责

行政相对人对“跨区域”登记事项提起行政复议、行政诉讼的,应当由管辖登记机关具体负责,以管辖登记机关的名义依法履行法定职责。

三、工作要求

(一)加强组织领导

推行企业登记业务“全城通办”是进一步推进工商注册便利化、解决群众办事难问题、优化首都营商环境的重要创新措施。各单位要充分认识此项工作的重要性,加强组织领导,统筹组织实施,制定落实方案,细化工作制度,切实抓好工作落实。

(二)强化工作保障

各单位要紧密结合当前的改革实际,以便利群众办事为出发点和落脚点,做好人员安排、硬件设备、窗口设置、内部衔接等工作,确保流程顺畅、软硬件支撑到位,确保电子档案及时扫描,书式档案定时定点移交,登记工作优质、高效运转。

(三)强化服务标准化

各登记部门应当按照统一的工作流程、标准和要求为办事人员提供优质服务,坚决杜绝受理登记机关和管辖登记机关相互拖延推诿现象。登记窗口要严格履行服务承诺制、首办责任制、一次性告知等制度和要求,严格执行服务标准和办理时限,确保“全城通办”平稳有序开展。

(四)加强宣传培训

要充分利用多种渠道,加大“全城通办”的宣传力度,帮助办事人知晓办理“全城通办”政策措施,告知办事人在具体业务操作过程中的注意事项;强化对窗口登记人员的系统操作和业务培训;注重总结分析,及时梳理解决试点过程中的突出问题。

   一、甲方委托乙方以甲方名义受理符合“全城通办”条件的申请人所提交的纸质材料,并作出行政许可决定。甲方委托乙方在办理完毕“全城通办”登记业务后,及时建立电子档案,并移交书式档案。

二、在办理过程中,甲乙双方应积极配合协作,如有未尽事宜,经双方协商解决。

三、本委托书经甲方签字后自送达乙方之日起生效,委托书由乙方持有,并由甲方向市局登记注册处报备复印件一份。

Implementation Plan of Beijing Administration for Industry and Commerce to Pilot “City-wide Universal Processing” of Industry and Commerce Registration in Zhongguancun Science Park and “Three Cities and One Area”

 

As of December 1, 2017, we have decided to pilot the “city-wide universal processing” of industry and commerce registration and establish the integrated industry & commerce registration and service system across the municipality in the Zhongguancun Science Park, the Huairou Science City, the Future Science City and the  Beijing Economic-Technological Development Area (hereafter referred to as “Three Cities and One Area”) pursuant to the overall deployment and requirement of the State Council for the “relaxation, supervision and service” reform, in a move to further deepen the commercial system reform, effectively carry forward the facilitation of industry and commerce registration, and establish a better business environment in the capital. We are now putting forward the following implementation opinions:

I. General Requirements

i. Guidelines

We should carry out the spirit of the Nineteenth National Congress of the Communist Party of China in earnest. Moreover, we should persist in pioneering and innovation, adhere to the principle of orientation to problems, and insist on solving problems that exist during the reform with the concept of reform and innovation. At the same time, we should spare no effort to solve the conflict between the growing public service demand of the masses and the imbalance and discrepancy of government’s service resources, and strive to solve the “last mile” issue in government work associated with the people, pursuant to the overall arrangement of the State Council for the “relaxation, administration and service” reform and the new requirements set by the Beijing Municipal Committee of the Communist Party of China and the People’s Government of Beijing Municipality for optimizing the business environment of the capital. 

ii. Working objectives

With the objective of facilitation, high efficiency and benefit for the people, we should allow Chinese Limited Liability Companies engaged in science and technology business within one area and sixteen parks in the Zhongguancun Pilot Area as well as the “Three cities and One Area” to apply for the registration service to any registration hall across the city and optimize the allocation of regional service resources to further shorten the opening time of enterprises and increase the registration service efficiency.

iii. Basic principles

1. Adhere to the pilot program. The pilot should cover the registration of establishment of Chinese limited liability companies engaged in science and technology business within the Zhongguancun Pilot Area as well as the “Three cities and One Area”, in a move to ensure the “City-wide Universal Processing” reform will be implemented reliably and in order. BAIC will enlarge the geographical scope and business scope in due course based on the pilot status.

2. Adhere to the principle of compliance and uniformity. We should fully consider policy differences from one area to another, reduce the impact from regional policy differences to the biggest extent and establish the interregional registration service modes featuring standardization, professionalization and facilitation by reengineering flows, elaborating standards, and unifying business flows, service standards and operating procedures.

3. Adhere to the sharing of information. We should fully employ information technology measures to support business applications. We should realize the confirmation of information and transition of documents between the registration acceptance authority and the competent registration authority through information technology measures.

4. Adhere to the local administration. The “City-wide Universal Processing” is a registration service across areas provided by the registration authority for enterprises, and under the service, the competent registration authority in the domicile of the enterprise assigns the registration acceptance authority to process the registration, but this will not change the local administration principle, and the administrative and judicial jurisdiction of the enterprise should still be determined according to the domicile.

II. Major Tasks

i. Reengineer the registration review flow

1. Uniform the entry. After the applicant enters online registration data as required when applying for registration of establishment through the BAIC Online Registration Application Service Platform, the registration authority in the domicile of the applicant will confirm whether the domicile of the enterprise lies in the Zhongguancun Pilot Area and “Three Cities and One Area”, and review the documents.

2. Discretionary selection. If the applicant passes the online review and meets the condition for the “City-wide Universal Processing”, the online registration service system will provide the reservation method and information of all registration authorities across the municipality. The applicant can select the “City-wide Universal Processing” mode and submit application documents to any registration authority across the municipality.

3. Acceptance by proxy. After the applicant submits paper documents to the acceptance registration authority, the acceptance registration authority will review applicant documents submitted by the applicant, and check related contents of the “domicile”, “business scope” and “licensing information” in the documents against the information entered during online registration. If the information is consistent, the acceptance registration authority will issue the business license affixed with the seal of the competent registration authority after approval. When finding relevant contents in the documents is different from the online information, the acceptance registration authority should upload the revised documents through the “Golden Net” approval system and approve the registration after the competent registration authority confirms the information.

ii. Establish the file management system supporting the “City-wide Universal Processing”

1. Create electronic files in time. After processing the registration business, the acceptance registration authority should separately sort up the registration documents under the “City-wide Universal Processing” mode, and hand over the same to the file department of the authority within three working days after the enterprise obtains the business license or the recordation notice. The file department of the acceptance registration authority should scan and create electronic files, paste the electronic label and separately preserve the registration file under the “City-wide Universal Processing” mode within 3 working days after receiving the file.

2. Creation and handover of written files. Pursuant to the principle of “security and convenience”, the written file under the “City-wide Universal Processing” mode should be uniformly kept and saved by the File Management Center of BAIC. The File Management Center of BAIC should regularly collect files under the “City-wide Universal Processing” mode from different sub-bureaus and save the same in the Changping Warehouse of the center, in a move to reduce the storage pressure of the file warehouses of the sub-bureaus and reduce the risk and cost of transferring written files.

iii. Establish responsibilities of administrative and judicial administration

If an administrative counterpart lodges an administrative reconsideration or administrative litigation involving the registration under the “City-wide Universal Processing” mode, the competent registration authority should be responsible for the matter and perform the legal responsibility in the name of the competent registration authority.

III. Working Requirements

i. Strengthen organization and leadership.

Implementing the “City-wide Universal Processing” mode” is an important innovative measure to further facilitate industry and commerce registration, solve difficulties of the people in applying for government service and optimize the business environment in the capital. All authorities should fully realize the importance of the work, strengthen organization and leadership, and implement the reform in a coordinated manner. They should make action plans, elaborate working systems and effectively do the work with actual effect.

ii. Reinforce work support

Based on the actual situation of the reform, all authorities should cherish the concept of working for the people, do a good job in staff arrangement, hardware equipment, window setting, internal collaboration and other fields, and ensure the smooth flow as well as effective hardware and software support is in place. Moreover, they should ensure timely scanning of electronic files, hand over written files at regular intervals and to the designated place, and ensure the high quality and high efficiency of registration.

iii. Reinforce service standardization

All registration authorities should offer high-quality services to applicants pursuant to uniform working flow, standard and requirement, and strictly forbid the acceptance registration authority and the competent registration authority to shift responsibilities and delay the work. The registration window should strictly perform the service commitment system, the regulation that the first acceptor is responsible, the one-off notice, other regulations and requirements, strictly follow service standards and processing time requirements, and ensure the “City-wide Universal Processing” will be implemented steadily and in order.

iv. Strengthen publicity and training

All authorities should make full use of various channels to strengthen the publicity of the “City-wide Universal Processing” service, help applicants understand policy measures relating to the “City-wide Universal Processing” service, and notify applicants of matters requiring attention during concrete business operation. They should reinforce system training and business training for registration staff working at the window, pay attention to summary and analysis, and comb and solve eminent problems that exist during the pilot program.

   1. Party A hereby consigns Party B to accept paper documents submitted by applicants meeting the conditions for the “City-wide Universal Processing" service and make an administrative licensing decision in the name of Party A. Party A consigns Party B to create the electronic file in time and hand over the written file after completing the registration business under the “City-wide Universal Processing” mode.

2. During the business processing, Party A and Party B should actively cooperate with one another, and for any unresolved matter, both parties should consult one another to settle it.

3. This Letter of Authorization shall take effect immediately after it is signed by Party A and delivered to Party B. It shall be held by Party B and Party A shall submit one duplicate to the Registration Section of BAIC.
