北京市工商行政管理局关于推广全程电子化登记模式的通知

各区分局、专业分局,市局机关各处室、稽查总队,各事业单位,各协会、学会:

为进一步优化我市营商环境,提高企业开办效率,为申请人提供便捷、高效、无纸化准入服务,根据《工商总局关于推行企业登记全程电子化工作的意见》(工商企注字〔201743)要求,市局决定在我市推广全程电子化登记模式,现就有关工作通知如下:

一、推广“互联网+政务服务”模式,全程电子化办理营业执照实现无纸化、全覆盖

推广全程电子化“e注册”登记模式。在线申请有限公司设立登记,申请、受理、核准、发照、公示、存档等各环节无介质、智能化、全程网上办理。选择全程电子化模式提交登记申请,文件、证件齐备,符合法定形式的,工商部门实现网上快速办结。

    二、推广电子营业执照,逐步拓宽电子营业执照的应用范围

在办理工商部门相关业务时,企业可使用电子营业执照登录系统在线办理业务。依托企业信用信息公示系统实现企业身份识别。逐步推动电子营业执照同其他政府部门信息系统的对接,发挥电子营业执照在市场主体身份识别、电子档案、信息查询等方面的作用,推进电子营业执照在政府部门间的共享互用。逐步拓宽电子营业执照在网上平台、网络交易等领域的应用,提高企业电子营业执照使用的便利性。

三、完善全程电子化登记系统,实现企业登记全环节“零见面”

以企业登记全程便捷、高效、利民为目标,全面梳理全程电子化登记过程中人民群众反映的问题,不断完善全程电子化登记系统,在设立环节全程电子化登记的基础上,实现有限公司变更、注销登记全环节全程电子化。企业变更、注销登记通过全程电子化方式办理的,登记机关不再收回纸质营业执照,由登记机关通过北京市企业信用信息公示系统公告作废。

    四、推进身份认证信息共享,实现企业开办身份信息一次采集,共享共用

不断拓宽企业法定代表人、出资人等人员的身份认证方式,建立统一身份认证体系,打通不同部门业务系统身份认证信息共享通道,推进身份认证信息共享,实现企业开办相关人员身份认证信息一次采集,共享共用。

五、加强电子档案的管理和应用

通过全程电子化模式办理企业登记的,形成的原始电子申请材料、登记机关电子审核表单及相关数据库文件、图像等电子材料,经登记机关核准即生成电子档案,与纸质档案具有同等法律效力。实现系统自动归档保存,企业领取营业执照后,可通过自助查询、远程查询等方式查询企业电子档案。

Notice of Beijing Administration for Industry and Commerce on Promoting the Electronic Model in the Whole Process of Registration

In accordance with the requirements of the Opinions of the State Administration for Industry and Commerce on Promoting the Whole-Process Electronic Registration of Enterprises (No. 43 [2017] Industry and Commerce Enterprise Registration), we hereby decide to promote the electronic model in the whole process of enterprise registration, to further optimize the business environment of Beijing city, improve the efficiency of enterprise incorporation registration, and provide the applicants with convenient, efficient and paperless access services. You are hereby notified of the relevant work as follows:

I. Promote the “Internet+ governance service” model and the business licence registration realizes paperless electronic registration in the whole process

Implement the “whole-process electronic” registration model. All sections of the application for limited liability companies incorporation registration are processed in an online, non-medium, intelligence manner in the whole process, such as application, receiving, approval, licence issuing, announcement and recordation. The administration for industry and commerce shall realize fast online processing if the applicants select the whole-process electronic model to submit the application and applicants submit all required certificates and documents in a format that meets the regulations.

    II. Promote the electronic business licence and gradually expand the application scope of e-business licence

Enterprises are allowed to go through related matters with administration for industry and commerce by using e-business licence registration system. The enterprise identity is identified through the Enterprise Credit Information Publicity System. Gradually interface the information system on e-business licence with information system of other government departments, play the role of e-business licence in such aspects as identification of market body’s identity, e-file and information enquiry, and promote sharing of e-business licence among government departments. Gradually expand the application scope of e-business licence in such areas as online platform and online trading and facilitate e-business licence usage.

III. Improve e-registration system in the whole process and realize “zero face-to-face meeting” in the whole process of enterprise registration

Comprehensively review the issues reported by the people in the whole process of e-registration, to achieve convenient, efficient and people-benefiting enterprise registration in the whole process, continuously improve whole-process e-registration system, and realize the electronic registration for limited liability company incorporation in the whole process such as change and cancellation registration based on electronic incorporation registration. For e-registration of enterprise change and cancellation, the registration authority no longer takes the printed business licence back. Instead, it will announce the cancellation through Beijing enterprise credit information disclosure system.

    IV. Promote sharing of ID identification information, realize one-off collection and share information on enterprise incorporation personnel’s ID

Continuously expand the methods for ID identification of enterprise legal representatives, contributors and other personnel. Establish the unified ID system, establish ID identification information sharing channels among different department information systems, promote information sharing of ID identification, realize one-off collection and share information on enterprise incorporation personnel’s ID.

V. Strengthen the management and application of electronic files

Through electronic enterprise registration, the e-materials will be created, such as original electronic application materials, electronic examination forms of the registration authority and related database files and images generated in the whole-process electronic registration, which shall have the same legal validity with paper files. Realize the system automatic recordation and storage. After the enterprises collect the business licence, enterprises could enquire their electronic files through such methods as DIY enquiry and remote enquiry.
